OMERS Career Site 

The OMERS Career Site (“Site”) is administered by OMERS Administration Corporation (“OAC”). By using the Site, you agree to be bound by these Terms of Use. Please read them carefully before you access or use the Site. If you do not agree with any part of these Terms of Use, you must not use the Site.

Eligibility & Registration 

To use the Site, you must:

• be at least 18 years old;
• have the legal capacity to enter into a binding agreement;
• comply with all applicable laws and regulations in your jurisdiction;
• provide accurate, current, and complete information during the registration process and to update it as necessary;
• maintain the security and confidentiality of your account and password; and
• notify OAC immediately of any unauthorized access or use of your account.

You are solely responsible for your use of the Site and the consequences of your actions. Additionally, OAC is not liable for any loss or damage arising from your failure to protect your account or password.

Content and Services

The Site allows you to submit content, such as your resume, cover letter, portfolio, or other materials (collectively, "Your Content"). By submitting Your Content to the Site, you grant OAC, and its affiliates and other investment entities a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, modify, adapt, and create derivative works from Your Content for the purpose of (i) supporting OAC, and its affiliates and other investment entities, candidate assessment and human resource processes; and (ii) operating, providing, and improving the Site.

You represent and warrant that:

• you have all the rights, consents and permissions necessary to submit Your Content to the Site and to grant OAC, and its affiliates and other investment entities the license above; and
• Your Content does not infringe or violate any intellectual property rights, privacy rights, or other rights of any third party, or contain any unlawful, harmful, abusive, defamatory, obscene, or otherwise objectionable material.

OAC does not endorse or verify the accuracy, quality, or reliability of Your Content. You are solely responsible for Your Content. OAC reserves the right, but has no obligation, to monitor, review, edit, remove, or disable access to any of Your Content at any time and for any reason, without notice or liability.

Prohibited Content

You agree not to engage in any of the following prohibited conduct on the Site:

• Impersonate any person, or misrepresent your identity or affiliation with any person or entity;
• Use the Site for any illegal, fraudulent, or unauthorized purpose;
• Use the Site in violation of any applicable law or regulation;
• Use the Site to transmit or distribute any virus, malware, or other harmful code or content;
• Use the Site to interfere with or disrupt the operation, security, or functionality of the Site or any other website, service, or network;
• Use the Site to infringe or violate the intellectual property rights, privacy rights, or other rights of any other person or entity;
• Use the Site to upload or share any content that is unlawful, harmful, abusive, defamatory, obscene, or otherwise objectionable;
• Use the Site to circumvent or violate any of these Terms of Use or any other policies or guidelines that OAC may establish from time to time.

Suspension or Termination of Use

OAC reserves the right to:

• investigate and take appropriate legal action against anyone who violates these Terms of Use or engages in any prohibited conduct on the Site; and
• terminate or suspend your access or use of the Site at any time and for any reason, without notice or liability.

Disclaimer 

The Site and all the content and services provided through the Site are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. By accessing and using the Site you agree that the Site is used entirely at your own risk. OAC makes no representations or warranties, express or implied, and disclaims all liability, including with respect to: (i) being free of malware, including viruses, or other harmful components; (ii) non-availability due to maintenance or upgrade; or (iii) non-availability due to event outside its control, or that OAC could not have reasonably prevented by means of control, compromise, disaster recovery procedures or business continuity procedures.

OAC and its affiliates and other investment entities, and its and their directors, officers, employees and agents are not liable in any event for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, or any other damages of any kind, arising out of or in connection with your access or use of the Site or any content or services provided through the Site, or your inability to access or use the Site or any content or services provided through the Site, whether based on contract, tort, negligence, strict liability, or any other legal theory, and whether or not OAC has been advised of the possibility of such damages. In the event that some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages, in no event will our total liability to you for all damages, losses, and causes of action arising out of or in connection with your access or use of the Site or any content or services provided through the Site exceed the amount paid by you, if any, for accessing or using the Site or any content or services provided through the Site.

Indemnification 

You agree to indemnify, defend, and hold harmless OAC and its affiliates and other investment entities, and its and their directors, officers, employees and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorneys' fees, arising out of or in connection with your access or use of the Site or any content or services provided through the Site, or your violation of these Terms of Use or any applicable law or regulation, or the rights of any third party.

Changes to the Terms of Use

OAC may revise and update these Terms of Use from time to time at OAC’s sole discretion. OAC will notify you of any changes by posting the new Terms of Use on the Site. You are responsible for reviewing the Terms of Use periodically for any modifications. Your continued access or use of the Site after the effective date of the new Terms of Use constitutes your acceptance of the new Terms of Use. If you do not agree with the new Terms of Use, you must stop accessing or using the Site.

General 

These Terms of Use constitute the entire agreement between you and OAC regarding your access or use of the Site and supersede any prior or contemporaneous agreements, communications, or understandings, whether oral or written, on the same subject matter. If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision will be modified to the extent necessary to make it enforceable, or if not possible, will be severed from these Terms of Use, and the remaining provisions will remain in full force and effect. OAC’s failure or delay to exercise or enforce any right or remedy under these Terms of Use will not constitute a waiver of such right or remedy. You may not assign or transfer any of your rights or obligations under these Terms of Use without OAC’s prior written consent. OAC may assign or transfer any of our rights or obligations under these Terms of Use without your consent and without notice.

These Terms of Use and your access or use of the Site are governed by and construed in accordance with the laws of the Province of Ontario, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction and venue of the courts located in Toronto, Ontario Canada, for any legal action or dispute arising out of or in connection with these Terms of Use or your access or use of the Site. You waive any objection to the jurisdiction and venue of such courts.
